Terms and conditions

These terms apply to the use of Taskstand, a service of amphora.interactive, established at Acaciastraat 11, 3551 BD Utrecht, Netherlands, registered with the Dutch Chamber of Commerce under number 30157344, VAT number NL001939509B30. Where it says "we" below, it means amphora.interactive. Where it says "you", it means you as a user or as the organisation holding an account.
1. What these terms cover
These terms are part of every agreement between you and us about Taskstand. By creating an account you accept them. Your own purchasing terms do not apply unless we have accepted them in writing.
2. What the service is
Taskstand is software you use in your browser to keep track of projects, tasks and hours worked, and to share parts of that with others. You are not buying software; you get the right to use the service for as long as the agreement runs.
We keep developing the service. Features are added, change, or go away. If something you rely on goes away, we tell you beforehand at the email address on your account.
3. Your account
- You are responsible for what happens under your account and for keeping your credentials to yourself.
- You can switch on two-factor authentication or a passkey; we offer both.
- An account is personal. If you work with others, invite them with their own account rather than sharing your password.
- If you suspect someone else can reach your account, tell us at support@taskstand.app as soon as you can.
4. What you do not use the service for
- Anything against the law, or that infringes someone else's rights.
- Storing or distributing unlawful material.
- Working around the security, overloading the service, or pulling data out automatically in a way that gets in the way of the service.
- Reselling the service or offering it to third parties as if it were yours, unless we agreed to that.
If you break this we may suspend your use. We will tell you, and where it is reasonable we will give you the chance to put it right first.
5. Plans, prices and payment
The plans and their prices are on our website. Prices are in euros and exclude VAT. The owner of a project pays for that project; the people you invite pay nothing.
A paid plan runs per month or per year, payable in advance, and renews automatically for the same period until you cancel. Payment runs through our payment provider.
We may change prices. We announce a change at least thirty days beforehand at the email address on your account, and it takes effect at the next renewal. If you do not agree, you can cancel as of the date the new price would start.
6. Term and cancellation
You can cancel at any time. Cancellation takes effect at the end of the current period; amounts already paid for that period are not refunded. You can cancel in your account settings or by email.
We may end the agreement with thirty days' notice. If we do so while you are not in default, we refund the part of the prepaid period you can no longer use.
Afterwards we delete your data as described in the privacy statement.
7. Availability and maintenance
We do our best to keep the service available, but we do not guarantee a particular level of availability and there is no service level agreement, unless we agree one with you separately in writing. The service can be briefly unreachable for maintenance and for rolling out new versions.
8. Your data
The data you put into Taskstand stays yours. We use it to run the service and for nothing else; we do not sell it and we do not use it to train models.
If you want your data out of the service, ask at support@taskstand.app and we will provide it in a common, machine-readable format.
Keeping copies of data you cannot afford to lose is up to you.
9. Intellectual property
The software, the design and the name Taskstand are ours and stay ours. You get a non-transferable right to use the service for as long as the agreement runs.
If you send us an idea or a suggestion, we may use it without owing you anything for it.
10. Liability
Our liability is limited, per event and per year, to the amount you paid for the service in the twelve months before the event. A series of connected events counts as one event.
We are not liable for consequential loss, including lost profit, missed savings, loss of data and loss from business interruption.
These limits do not apply in case of intent or deliberate recklessness on our part.
11. Force majeure
If we cannot meet our obligations because of something outside our control, such as an outage at a supplier, a power failure or an attack on the infrastructure, we are not liable for it. If it lasts longer than thirty days, either of us may end the agreement.
12. Changes to these terms
We may change these terms. We announce a change at least thirty days beforehand at the email address on your account. If you do not agree, you can cancel as of the date it takes effect.
13. Personal data
How we handle personal data is set out in our privacy statement. If you put other people's personal data into Taskstand, for instance about your clients or your colleagues, you are the controller and we are the processor. What we agree in that case is in the processing annex below, which is part of these terms.
14. Governing law and disputes
Dutch law applies to these terms and to every agreement. Disputes go to the competent court in the district of Midden-Nederland, unless the law requires another court.
Annex: data processing agreement
This annex applies as soon as you process other people's personal data in Taskstand. You are then the controller and we are the processor.
Subject and duration
We process personal data only to provide the service to you and on your instructions. The processing lasts as long as the agreement runs.
Types of data and data subjects
What you put into the service is up to you. In practice it is names, email addresses and work-related content about your staff, clients and contacts, plus whatever descriptions, comments and files you add yourself.
Security
We take appropriate technical and organisational measures, including encrypted traffic over https, passwords stored only as a hash, two-factor authentication and passkeys, and access control per project and per section, so that someone only sees what they are entitled to. The database is backed up daily, stored encrypted in Frankfurt.
Sub-processors
We use the following sub-processors:

If we add or replace a sub-processor we announce it beforehand. If you object within thirty days, you may cancel as of the date the change takes effect.
Transfers outside the European Economic Area
All processing named above takes place inside the European Economic Area. Should a transfer outside it become necessary, we announce it beforehand and make sure there is a valid basis for it.
Data breaches
If we find a breach of security involving your data, we tell you without undue delay, with what we know at that moment about the nature of the breach, the data involved and the steps we are taking.
Helping with data subject rights
If someone asks you for access, correction or deletion, we help you handle it. If such a request reaches us directly, we pass it on to you and do not answer it ourselves.
Return and deletion
When the agreement ends we delete the personal data, unless the law requires us to keep it. If you ask for a copy beforehand, we provide one.
Audits
You may ask us to show that we keep to this annex, and we answer such questions in writing. If you want an on-site audit, we agree beforehand when, by whom and at whose cost.
